如果一方重大地未能履行其本合同項下的任何義務或一方在合同項下的陳述或

保證有重大的不實或不準確，則應視為違反本合同。違約方應在接收到另一方違

應對違約所造成的損失負責。如果守約方根據X終止本合同，則違約方人仍應

對違約損失負責。本合同提供的以及法律規定的所有的救濟應可以積累的。

entitledtotakeanyproceedingsorcallontheLicensortotakeany

可方有權自行決定且自行承擔費用，以雙方名義或任一方的名義提起控訴或其他

可方應提供許可方要求的所有的合理援助。

一旦被許可方知道其他任何人，商行或公司使用或擬使用商品名稱，商標，商品

裝飾或促銷或廣告手段相當于或可能相當于侵犯許可方的受許可商標的權力或

違反不正當競爭法，應以書面的形式將詳細情況告知許可方。

b)IftheLicenseebecomesawarethatanyotherperson,firmorcompany

alleges宣稱，斷言；提出…作為理由thatanyoftheLicensedTrademarksis

invalid無效的orthatuseoftheLicensedTrademarksinfringesanyrightsof

anotherparty,theLicenseeshallimmediatelygivetheLicensorinwritingfull

particularsthereof（oftheallegation）andmaymakenodisclosureof

informationoradmission承認toanythirdpartyinrespectthereof（ofthe

allegation）.

如果被許可方知悉其他任何人，商行或公司宣稱，任何被許可的商標無效或使用

被許可的商標侵犯其另一方的任何權利，則被許可方應就上述事項的詳細情況立

即書面通知許可方，以及不得向任何第三方披露上述信息或承諾。

c)TheLicensorshallconduct實施,處理,進行alllegalproceedingsinrespect

Trademarksandanyclaimorcounterclaim反訴,反索賠broughtorthreatened

就任何受許可商標的侵權行為或所謂的侵權行為，和就受許可商標的使用或注冊

提出的或將要提出的索賠或反索賠，許可方應進行一切的法律訴訟，以及許可方

應自行決定如何選擇。如果被許可方自行決定就被許可的商標提出訴訟或進行抗

辯，則許可方無義務對此提出訴訟或進行抗辯。

d)TheLicenseewill,attherequestoftheLicensorandattheLicensor's

expense,givefullcooperationtotheLicensorinanyactionorclaimbroughtor

threatenedtobebroughtinrespectoftheLicensedTrademarks,including

joiningin參加加入asapartytoanyproceedings.

就被許可的商標提出或將要提出的一切訴訟或索賠，可在許可方的要求以及自付

費用的情況下，給予其充分的合作，包括作為當事人進行任何訴訟。
